These Terms & Conditions apply to Accelerated Medical Practices (“AMP”, https://acceleratedmedicalpractices.com) and the AMP Accelerator platform (https://accelerator.acceleratedmedicalpractices.com). By accessing or using our websites, consulting services, or the Accelerator, you agree to these Terms. If you do not agree, you should not use our services.

1. Introduction

AMP provides business consulting, training, and marketing support to hormone and functional medicine clinics. The AMP Accelerator is our online membership platform that delivers training, resources, and tools to support clinic owners and their teams.

1.1 Intended Audience

Our services are designed for adult users (18+) who are engaged in the business operation of hormone or functional medicine clinics. They are not intended for patients or the general public.

1.2 International Use

Our content and solutions are designed for the U.S. market. International users may access our services, but it is their responsibility to ensure compliance with local laws and applicability to their market.

2. General Conditions of Use

2.1 Lawful Use

You agree to use AMP services lawfully and responsibly. Misuse includes, but is not limited to:

• Redistributing AMP content outside your clinic without consent.

   

• Sharing login credentials in violation of account rules.

   

• Using our platforms for illegal purposes or to harm others.

   

2.2 Updates to Terms

AMP may update these Terms at any time. Continued use after updates means you accept the revised Terms.

2.3 Governing Law

These Terms are governed by the laws of Florida, USA. All disputes will be resolved in the state or federal courts of Orlando, Florida.

2.4 Service Availability

AMP does not guarantee uninterrupted or error-free access to its websites, consulting services, or the Accelerator. Temporary downtime may occur due to system maintenance, upgrades, or factors outside our control such as power failures, network issues, or acts of nature. While we make reasonable efforts to maintain reliable access, AMP will not be liable for any loss or disruption resulting from service unavailability.

2.5 Assignment and Severability

AMP may transfer its rights and obligations under these Terms if acquired or merged with another entity. If any part of these Terms is found unenforceable, the remainder will continue to apply.

3. AMP Consulting Services

3.1 Scope of Services

AMP provides business consulting and training only. We do not provide medical advice, and our content should not be interpreted as medical guidance or treatment recommendations.

3.2 Results Disclaimer

Every clinic is unique, and results will vary. AMP provides business education, consulting strategies, and resources based on proven practices, but we cannot and do not guarantee specific outcomes such as revenue growth, patient acquisition, or profitability. Your success depends on factors outside our control, including but not limited to your location, staffing, marketing execution, patient demand, and regulatory environment.

3.3 Payments

Clients are financially responsible for their full project commitments.

3.4 Refunds & Cancellations

Payments for consulting services are non-refundable unless explicitly stated otherwise in a written agreement. If a project ends early, clients must pay for all completed work up to the agreed termination date. Deposits and retainers are non-refundable.

3.5 Intellectual Property

All materials, frameworks, and deliverables remain AMP’s intellectual property. Clients receive a limited license to use them internally for their clinic only. They may not be shared, repurposed, redistributed, or resold without written permission.

3.6 Copyrights

All content and functionality on AMP websites and platforms—including text, graphics, logos, icons, images, videos, frameworks, tools, worksheets, templates, and software—is the exclusive property of AMP or its licensors and is protected by U.S. and international copyright laws. Except as expressly permitted under these Terms, you may not copy, reproduce, modify, reverse engineer, distribute, publish, or transmit any part of our content or functionality without our written consent. All rights not expressly granted are reserved.

3.7 Trademarks

The trademarks, service marks, logos, and designs displayed on our sites (collectively, the “Trademarks”) are registered and unregistered marks of AMP and its licensors. You may not use, reproduce, or display these Trademarks in any manner that suggests endorsement, affiliation, or confusion without prior written consent.

3.8 Confidentiality

AMP will keep client clinic information confidential, including operations, pricing, staff compensation, leads, and patient details. Clients agree to protect AMP’s proprietary documents, frameworks, trade secrets, and consulting methods. These confidentiality obligations apply during the term of our engagement and will remain in effect indefinitely after the consulting relationship ends, unless both parties agree otherwise in writing.

3.9 Termination of Consulting Services

AMP reserves the right to terminate consulting engagements for non-payment, unethical conduct, or if the relationship is not a mutual fit.

3.10 Project Timing and Delivery

AMP may provide estimated timelines for project milestones and deliverables, but these are for reference only. We do not guarantee specific completion dates. Actual timelines may be affected by many factors, including client response times, requested changes or revisions, the review process, consultant availability, workload balancing, or unforeseen issues.

We commit to maintaining ongoing communication during consulting and project management to keep clients informed of progress, timelines, and adjustments. AMP will use reasonable efforts to complete projects in a timely and efficient manner, but timing is not a condition of performance.

3.11 Use of Site Content

AMP grants you a limited, non-exclusive, non-transferable license to access and use the content on our websites and platforms solely for your internal business purposes. You may not modify, copy, create derivative works from, or publicly distribute any Site Content without written permission. Any automated scraping, mining, or data extraction—including use of AMP content to train or support AI or machine learning models—is strictly prohibited.

Nothing in these Terms grants you ownership or a blanket license to use AMP’s intellectual property beyond what is expressly allowed here.

4. AMP Accelerator Membership

4.1 Accounts

Each membership includes one login. Clinics may currently share accounts internally, but this may change if AMP introduces team accounts or in cases of abuse.

4.2 Use of Content

All courses, downloads, templates, and quick lessons are licensed for internal clinic use only. Content may not be posted publicly, shared on social media, or resold. AMP grants you a limited, non-exclusive, non-transferable license to access and use the content provided through our sites and platforms for your clinic’s internal business purposes only. You may not modify, create derivative works from, or publicly distribute our content without written consent. Any scraping, automated data collection, or use of AMP content to train AI systems is strictly prohibited.

4.3 Subscriptions and Billing

PowerPass subscriptions renew automatically on a monthly or annual basis until cancelled.

4.4 Refunds & Cancellations

Payments are non-refundable once processed. You may cancel your subscription at any time to avoid the next billing cycle, but no refunds are provided for charges already incurred.

4.5 Suspension and Termination

AMP may suspend or terminate accounts for misuse, unauthorized sharing, or abusive behavior. In cases of repeated abuse across multiple users from the same clinic domain, we may enforce clinic-wide suspensions.

4.6 Disclaimers for Membership

The Accelerator provides business education, not guaranteed results. AMP may add, remove, or modify features at any time and may limit usage to maintain stability. Features advertised as “coming soon” may be delayed or may not launch on a specific timeline.

4.7 Pricing and Availability

AMP may change subscription prices with notice provided before the next renewal date. The Accelerator may experience downtime for maintenance and may be discontinued at AMP’s discretion, with notice provided to paying members.

5. Disclaimers

AMP’s services, websites, and the Accelerator platform are provided “as is” and “as available.” While we strive to deliver high-quality tools and resources, we make no warranties or representations about accuracy, completeness, or fitness for a particular purpose. AMP does not provide medical, legal, tax, or financial advice. Your use of our services is at your sole risk, and any reliance on AMP content is at your discretion.

AMP shall have no responsibility for information provided by third parties or linked websites. To the fullest extent allowed by law, AMP disclaims all implied warranties, including merchantability and fitness for a particular purpose.

6. SMS and Text Messaging

AMP offers optional text messaging programs to help you stay informed and connected. By providing your phone number and checking the appropriate consent box on our forms, or by initiating a consulting engagement or Accelerator membership, you agree to receive text messages from AMP as described below.

Types of Messages

AMP operates two separate text messaging programs:

Conversational and Transactional Messages are sent from our main business line and include appointment reminders for discovery calls, project status updates, and support communications. These messages are tied to your active engagement with AMP.

Marketing Messages are sent from a separate marketing number and include special offers, webinar invitations, new service announcements, and periodic follow-ups. These messages are promotional in nature.

Message Frequency

Message frequency varies based on your relationship with AMP and the programs you have opted into. For example, you may receive multiple reminders leading up to a scheduled webinar, a single reminder on the day of a discovery call, or occasional outreach if you are a past prospect. There is no fixed monthly limit, but we aim to communicate only when it adds value.

Consent

Your consent to receive text messages is not a condition of purchasing any AMP service or membership. You may choose to opt into conversational messages, marketing messages, both, or neither. Consent for each program is managed separately.

Opting Out

You may opt out of either messaging program at any time by replying STOP to messages received on that number. Because our conversational and marketing messages are sent from separate phone numbers, opting out of one does not affect your enrollment in the other. If you wish to opt out of both, reply STOP to messages from each number.

After you opt out, you will receive a confirmation message and will no longer receive texts from that program unless you re-subscribe.

Message and Data Rates

Standard message and data rates from your mobile carrier may apply. AMP is not responsible for carrier fees.

Changes to SMS Programs

AMP may modify or discontinue its text messaging programs at any time. If we make material changes to how we use SMS, we will update these Terms and, where appropriate, notify affected subscribers.

7. Limitation of Liability

To the fullest extent permitted by law, AMP’s total liability for any claim related to our services or the Accelerator will never exceed the amount you paid to us for the specific service or membership in question. AMP is not responsible for indirect or incidental losses, including lost profits, revenue, business opportunities, data, or reputational harm.

7.1 Indemnification

You agree to indemnify and hold harmless AMP, its officers, employees, and contractors from any claims, liabilities, damages, or expenses (including legal fees) arising out of your misuse of AMP services or the Accelerator, your violation of these Terms, or your infringement of third-party rights.

7.2 Survival

Sections relating to confidentiality, intellectual property, payment obligations, disclaimers, limitation of liability, indemnification, and any other provisions intended to survive termination will continue to apply even after services or memberships end.

8. Termination of Services

AMP may suspend or terminate consulting, services, or memberships at its discretion, including for non-payment or violation of these Terms. Users may cancel consulting services or Accelerator memberships as described in their agreements or account settings.

9. Updates to Terms

We may update these Terms as needed. When updates are made, the “Last Revised” date will be updated at the top of this page. If changes are significant, AMP will notify users.
